Article 1 Name

Part 1: The association is known as the American Teaching Research Association.
Part 2: Purpose. The purpose is to innovate teaching methods, promote academic exploration and theoretical development of classroom teaching, and use research results to improve teaching efficiency.
Part 3: Legal Basis. This association is established under the laws of Colorado in accordance with this constitution. The association shall be governed by this constitution. This charter shall not conflict with US law.
 

Article 2 Management Organization

The governance structure of ATRA consists of a shareholders' meeting, an academic committee, and an executive committee.
Section 1: Shareholders' Meeting. Composed of all participating personnel, exercising voting rights according to the proportion of shares. The shareholders' meeting does not directly participate in management, and an academic committee is elected by the shareholders' meeting.
Section 2: Academic Committee. It is the legislative and decision-making body of the association, with the authority to review and guide the macro affairs of the association within the scope specified in the constitution. The members of the academic committee include the chairman, three vice chairmen, and five members. The chairman is elected by the shareholders' meeting and elected by the academic committee. The term of office is 5 years, and upon expiration, the candidate can be re elected. The chairman may convene a plenary meeting according to specific circumstances and actual needs. And can propose to amend the articles of association.
Section 3: Executive Committee. As the daily management and executive body of the association, responsible for implementing the resolutions of the academic committee, having the authority to act on behalf of the academic committee, and handling other matters decided by the academic committee. The members of the Executive Committee include the Chairman, Vice Chairman, several Directors General (responsible for national affairs), and several Directors General (responsible for regional affairs).
Section 4: Meeting.
Shareholders' meetings may be convened at appropriate times depending on specific circumstances; Academic committee meetings can be convened at appropriate times based on specific circumstances; The Executive Committee shall hold at least two working meetings per year, including one annual general meeting. The chairman may convene temporary work meetings at other times.
Section 5: Telephone Conference. One or more members of the executive committee can participate in the meeting via conference calls or similar communication devices, and all members attending the meeting can simultaneously speak to each other and hear each other's voices through these devices. Attending a meeting in this way constitutes attending the meeting in person.
Section 6: Decisions outside of the meeting. Decisions made at the meeting must be expressed in writing and delivered to relevant members via email, mail, fax, or other means.
 

Article 3 Members

Section 1 Membership level. The members of this association are divided into two types: members and corresponding members.
Section 2 member. Membership in this category should be based on evidence of current or past active participation in teaching research or teaching practice activities, as well as evidence of at least a master's degree or equivalent level of professional training, or if a graduate student is currently pursuing such a degree.
Section 3: Corresponding Members. Corresponding members are individuals who are interested in educational research and identify with the association's purpose, but do not seek or possess membership qualifications. Corresponding members enjoy the same rights and privileges as members, but cannot vote or hold elected positions. Section 4: Qualifications. The application for membership as a member or corresponding member shall be submitted to the Executive Committee, which shall accept and process the application in accordance with the provisions described in sections 2 and 3 of this article and the standards established by the Academic Committee. When there are doubts about eligibility, the application should be submitted to the Executive Committee meeting, and the Executive Committee has the final decision-making power.
Section 5 Membership year. Usually a lifelong member, if there is a violation of scientific research ethics or criminal sanctions, the association has the right to cancel the membership and give public notice.
Section 6 Termination of membership.
(a) Failed to pay membership fees. Members who fail to pay any annual membership fees by the date determined by the Executive Committee will have their membership automatically terminated.
(b) Remove. If any person's continued membership is deemed to violate the interests or purposes of the association, the Executive Committee may terminate their membership in accordance with the procedures established by the Council.

Article 4: Finance

The financial supervisor is appointed and managed by the Executive Committee, receives all membership fees and other funds, pays all appropriations, is responsible for declaring taxes, and submits accounting reports on the financial status of the association to the Executive Committee, Academic Committee, and Shareholders' Meeting, and is subject to supervision and inspection by the aforementioned organizations.
Section 1 Membership Fees, Expenses, and Membership Fees
(a) The membership fees and other charges for various types of members should be formulated and collected by the association's executive committee.
(b) The fees and expenses for publications are independently accounted for, with 60% of the profits retained for self-development. 40% shall be handed over to the association's finance department.
Section 2: Grants and Contracts. To achieve its goals, associations can obtain grants and contracts from institutions or organizations to help achieve their plans and objectives. Unrestricted and restricted grants and contracts should be stored in financial accounts suitable for the conditions of these grants and their intended use.
Section 3: Use of Funds. The association shall only use the funds raised to achieve the goals and objectives set forth in this constitution. Except as provided in this constitution, no member or group of members shall dispose of the financial resources of the association in any way.

Article 5: Dissolution

If the association suffers serious losses, insolvency, or other significant risks, as well as insurmountable obstacles that prevent it from continuing to operate, it may be proposed by the executive committee, approved by the academic committee, dissolved by the shareholders' meeting, and relevant cancellation procedures shall be handled. The follow-up work shall be handled properly by the executive committee, and there shall be no financial or other hidden dangers.

Article 6: Publications

The publication decided by the association is: Teaching Review. The association will be responsible for the preparation, production, distribution, and funding of publications.
